• Financial reporting and MIS preparation
• Tax compliance (Income Tax, GST, Professional Tax)
• Regulatory compliance and ROC filings
• Corporate governance and secretarial support
• Capital market compliance for traders and investors

3. Professional Standards

All services provided by us are subject to:

• Applicable laws and regulations in India
• Professional standards and codes of conduct
• Terms of engagement agreed upon with each client
• Limitations based on information and documents provided by clients

4. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information and documentation
• Maintain proper records and supporting documents
• Respond promptly to our requests for information
• Review and approve deliverables in a timely manner
• Make timely payments for services rendered
• Inform us of any material changes affecting the engagement

5. Scope and Limitations

Our services are provided based on:

• The specific scope defined in our engagement letter or agreement
• Information and documents provided by you
• Our professional judgment and expertise

We are not responsible for:

• Outcomes resulting from incomplete or inaccurate information provided by clients
• Changes in laws or regulations after the completion of services
• Third-party actions or decisions based on our deliverables
• Any financial losses, tax penalties, or legal consequences arising from client decisions

7. Investment and Trading Disclaimer

Coinologic Services Private Limited is NOT a SEBI-registered investment advisor. We do not:

• Provide investment advice or stock recommendations
• Offer portfolio management services
• Guarantee trading profits or investment returns
• Make buy/sell recommendations for securities

Our capital market support services are limited to:

• Tax compliance for traders and investors
• Coordination with auditors for F&O transactions
• Regulatory compliance guidance

8. Confidentiality

We maintain strict confidentiality of all client information in accordance with professional standards and our Privacy Policy. However, we may be required to disclose information:

• When mandated by law, regulation, or court order
• To regulatory authorities upon proper request
• With your explicit written consent

9. Fees and Payment

• Fees for services are agreed upon in advance through engagement letters
• Payment terms are specified in the engagement agreement
• Late payments may result in suspension of services
• Additional work beyond the agreed scope may incur additional fees

10. Intellectual Property

All templates, methodologies, tools, and proprietary processes used in delivering our services remain the intellectual property of Coinologic Services Private Limited. Clients receive a license to use deliverables for their internal business purposes only.

11. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the fees paid for the specific engagement
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for client decisions made based on our advice
• Claims must be brought within one year of the completion of services

12. Termination

Either party may terminate the engagement:

• With written notice as specified in the engagement agreement
• Immediately in case of breach of terms or non-payment
• Upon mutual agreement

Upon termination, clients remain responsible for payment of services rendered up to the termination date.

13. Website Use and Google OAuth

By using our website and Google OAuth authentication:

• You consent to our collection and use of information as described in our Privacy Policy
• You authorize us to use Gmail API to send inquiries from your verified email
• You agree not to misuse our website or attempt unauthorized access
• You understand we may suspend access for security or policy violations

14. Amendments

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.

15. Governing Law

These Terms of Service are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific engagement agreement, constitute the entire agreement between you and Coinologic Services Private Limited.
